1. Parties to the agreement
This agreement is entered into between Reverdin Solutions (VAT No. IT17458801002, Rome, Italy), acting as the provider of the Uniflo service (the "Provider"), and the person who registers on the platform (the "User" or "Customer").
2. Description of the service
Uniflo is an AI-powered SaaS platform for multichannel editorial management and planning. The Provider grants the User, for the duration of the subscription, a non-exclusive, non-transferable and revocable right to use the platform.
3. Registration and account
The User must provide truthful and up-to-date information when registering. The User is responsible for the confidentiality of their credentials and for any activity carried out through their account. The Provider reserves the right to suspend or close accounts that violate these terms.
4. Subscriptions and payments
- Available plans are described on the Pricing page.
- Payments are securely processed by Stripe, Inc. The Provider does not store any credit card data.
- Subscriptions renew automatically upon expiry unless cancelled.
- No refund is provided for periods already invoiced, unless otherwise required by law.
- The Provider reserves the right to change prices with at least 30 days' notice by e-mail.
5. Right of withdrawal
Pursuant to Articles 52-57 of the Italian Consumer Code (Legislative Decree 206/2005), the consumer has the right to withdraw within 14 days of subscribing, unless the service has already been fully performed with the User's express consent.
6. Acceptable use
It is prohibited to use Uniflo for:
- illegal activities or activities that infringe the rights of third parties;
- the dissemination of offensive, discriminatory or spam content;
- scraping activities or unauthorized mass access to the APIs;
- compromising the security or integrity of the platform.
7. Intellectual property
The Provider holds all rights to the Uniflo platform, including the software, design and documentation. The User retains full ownership of the content created and uploaded through the service and grants the Provider a limited license to process it solely for the purpose of providing the service.
8. Limitation of liability
The service is provided "as is". The Provider does not guarantee uninterrupted continuity of the service and is not liable for indirect damages, data loss or loss of profit arising from the use or inability to use the platform.
The Provider's overall liability, for any cause whatsoever, may under no circumstances exceed the amount paid by the User during the 12 months preceding the event that caused the damage.
9. Suspension and termination
The Provider may suspend or terminate the contract with immediate effect in the event of a serious breach of these terms. The User may cancel at any time via the account settings; cancellation will take effect at the end of the current billing period.
10. Changes to the terms
The Provider may update these terms. The User will be informed by e-mail with at least 15 days' notice. Continued use of the service after the effective date constitutes acceptance of the new terms.
11. Governing law and jurisdiction
This agreement is governed by Italian law. For any dispute arising from the interpretation or performance of the agreement, the parties agree to the exclusive jurisdiction of the Court of Rome, without prejudice to the consumer's forum under Legislative Decree 206/2005.
